The purpose of AYA Bank Lactation Support Program is to support the working mothers at their start of the journey working as a mother and encourage the breastfeeding activity which is the best for the early development of a child. AYA Bank developed this lactation program under the closed guidance of UNICEF Myanmar. AYA Bank is committed to follow the standards and advisories of regulators and create a hazard-free workplace. Our Health and Safety Committee sets health and safety goals, develops guidelines, sufficient control measures, and financial support to ensure implementation and improvements of health and safety standards. The guidelines cover recommendations on health and safety which will help prevent and reduce accidents and occupational diseases in the workplace.

Health and Safety Policy is established in two aspects, ‘Preventative Action’ and ‘Emergency Management’. Health and Safety Committee conducts periodical risk assessments, job hazard analysis and takes necessary action to prevent health and safety risks associated with our business activities in normal situation. Emergency Response Team is set up to control the situation effectively during sudden catastrophes, communicate with all employees and provide health and safety instructions to be able to work safely and productively.

The purpose of this Insider Trading Policy (the "Policy") is to establish guidelines to prevent insider trading or the appearance of improper conduct by anyone associated with AYA Bank PCL ("the Bank"). This Policy is designed to ensure compliance with applicable securities laws and regulations, thereby protecting the Bank's reputation and maintaining trust with stakeholders.

The insider shall maintain confidentiality of AYA Bank information and prohibit from taking advantage of nonpublic “material information” about the Bank or its affiliates, customers or suppliers, or communicating such information to others. The objective is to oppose the unauthorized disclosure of any nonpublic information acquired in the workplace and the misuse of such Information. This Policy applies to all directors, officers, employees, and consultants of the Bank and its subsidiaries ("Covered Persons"). It also extends to family members, household members, and entities controlled by these individuals who have access or who are made aware of non-public material information.

Nonpublic “material information”

The following information is considered material but not limited to:

  • Unpublished financial information relating to the Bank
  • Financial performance outlook which is not yet made public
  • Strategy or significant business trends laid out by the Bank
  • Bank’s information which is highly classified and may have servere impact
  • Product or service plans not yet announced (ie, Innovative products, processes, or discoveries)
  • The outcomes of pending legal proceedings
  • Information relating to the personal details, accounts, records, and transactions of customers

Prohibition

All covered persons are prohibited from using, sharing or trading on nonpublic “material information” concerning AYA Bank or its employees, affiliates, customers or suppliers. Anyone with access to this information must guard it carefully, following the Bank’s guidelines for handling sensitive information.

Failure to Comply

The improper or personal use of such information is a violation of the Bank’s policies, and shall be subject to disciplinary action, including fines and suspension. Such a person shall also be subject to any action that may be taken by the enacted laws, directives and instructions of the country.

Amendments and Waivers

This Policy may be amended or waived only by the Board of Directors of the Bank. Any waivers of this Policy for directors or executive officers must be promptly disclosed to the public as required by law.

Compliance Matters

AYA Bank sets up compliance policy to ensure that the Bank operates with integrity and adhere to applicable laws, regulations, and internal policies. AYA bank’s senior management is responsible for establishing a permanent and effective compliance functions within the bank as part of the bank’s compliance policy. This policy will take the significant role to generate line of defense for managing risks to safeguard customers’ deposits and the Bank’s financial services. Effective compliance and procedures must be followed, and management must take appropriate corrective action when compliance failures are identified. Compliance is to start at the top and should be part of the culture of the Bank. It will be most effective in a corporate culture that emphasizes standards of honesty and integrity and in which the board of directors and senior management lead by example. It concerns everyone within the bank and viewed as an integral part of the Bank’s business activities. The Bank shall hold itself to high standards when carrying on business, and at all times strive to observe the spirit.

AYA Bank formalizes its Anti-bribery and Corruption Policy to comply with Myanmar Anti-Corruption Law (2013) and United Nations Convention against Corruption (UNCAC) treaty (2003). It intends to conduct all of its business in an honest and ethical manner. AYA Bank takes a zero-tolerance approach to bribery and corruption and is committed to acting professionally, fairly and with integrity in all its business dealings and relationships. It is the goal of AYA Bank to avoid acts which might reflect adversely upon the integrity and reputation of the bank. The Policy applies to all directors, officers, employees, family members, consultants and contractors of AYA Bank and also extends across all of the Bank’s business dealings.

AYA Bank seeks to conduct its business honestly and with integrity. We expect all staff to maintain high standards of business conduct and all our stakeholders to report any wrongdoing of our staff that falls short of these fundamental principles. It is the responsibility of all employees, contractors and those working on the Bank’s premises to raise any concerns that they might have about malpractice within the workplace.

AYA Bank’s Whistle Blowing Policy sets out the procedure by which anyone can report concerns about workplace practices and any recommendations for action resulting from investigations into complaints lies with Whistle Blowing Committee. The Committee will ensure that employees are able to raise concerns without fear of reprisals. Concerned person can report breaches via our secure channel.

Related Party Transactions

1. Purpose

The purpose of this Related Party Transaction Policy (the "Policy") is to establish the guidelines and procedures for identifying, reviewing, approving, and disclosing transactions between AYA Bank PCL (the "Bank") and its Related Parties. This Policy aims to ensure transparency, fairness, and compliance with applicable laws and regulations.

2. Scope

This Policy applies to all Related Party Transactions (RPTs) involving the Bank, its subsidiaries, and affiliates, including transactions with the Bank's directors, significant shareholders, officers, employees, and their immediate family members.

3. Definition of Related Parties

(a) Related Party in relation to the Bank means:

  • A person who has a substantial interest in the Bank or where the Bank has a significant interest in the person.
  • A director or officer of the Bank or of a corporate body that controls the Bank.
  • A relative of a natural person covered in paragraphs (i) and (ii).
  • An entity controlled by a person described in paragraphs (i), (ii), and (iii).
  • A person or class of persons designated by the Central Bank of Myanmar (CBM) as a related party due to its past or present interest in or relationship with the Bank.

(b) Relative in relation to a natural person means:

His spouse, brother or sister of the individual, brother or sister of the spouse of the individual, any lineal ascendant or descendant of the individual or spouse of the individual, and his dependents; this includes relationships created through adoption.

(c) Substantial Interest means:

Owning, directly or indirectly, ten percent or more of the capital or voting rights of a financial institution or exercising control over the management of the Bank as determined by the CBM.

(d) A person is deemed to have control over the management of a Bank when the person:

  • Has the power to appoint a majority of the directors of the Bank; or
  • Has the power to make decisions concerning the business or administration of the Bank.

(e) Officer in relation to a Bank includes:

  • The Chief Executive Officer or their deputies.
  • The Chief Financial Officer.
  • Any other person performing executive functions at the Bank.

(f) Market terms and conditions in relation to a transaction mean:

Terms and conditions of an open market transaction in securities, foreign currencies, and bullion prevailing at the time of the transaction.

4. Transactions with Related Parties

  • The Bank shall not lend to any Related Parties or shareholders holding more than five percent of the voting shares of the Bank unless such a transaction has been approved by a vote of two-thirds or more of the Board of Directors, excluding the involved Director, secured by collateral, and made on market terms and conditions.
  • The above provision shall not apply to a Director or Officer who is an employee of the Bank when the credit facility is granted under a scheme applicable to employees.
  • The Bank must deduct the amount of any credit facility granted to a Related Party from its Tier-I capital if such credit facilities remain outstanding, regardless of whether they are on or off the balance sheet.
  • All credit facilities, whether on or off the balance sheet, granted to a Related Party must be disclosed in the financial statements for that financial year and for each subsequent financial year until the facility has been fully repaid or settled.

5. Documentation and Reporting Requirements

  • All Related Party Transactions approved by the Board of Directors must be recorded in the minutes of the Board meeting.
  • A Director who is a Related Party shall not be present or vote at the meeting when the Related Party Transaction is voted on by the Board of Directors.
  • The Bank must maintain adequate supporting information and documentation to evaluate its commitment in respect to the Related Party Transaction.
  • The Bank must ensure that all Related Party Transactions and relationships are fully disclosed, including any payments for services rendered, facilities used (such as premises, personnel, or equipment), or assets sold, and that these transactions are fully documented.
  • The Bank must report all Related Party Transactions to the Banking Supervision Department of the CBM on a monthly basis, in accordance with the form specified by the Banking Supervision Department of the Central Bank of Myanmar.

Creditors’ Rights

For decades, AYA Bank establishes a deed of trust with our creditors such as deposit holders, businesses, and other parties in the protection of creditor’s right. We secure creditors to enjoy the right to repayment of money by the Bank. Our strong creditor’s right deals not only with the right of creditors against the debtor, but also the potential for the higher growth. Under the debtor and creditor relationship, positioning of each creditor to others is clearly stated and secured creditors are first in line, in case the Bank goes into liquidation. Deposit holders and other creditors are given priority to get back their money, the Bank owed to them. We honor and comply with the Myanmar Financial Institution Law (2016) with respect to ‘Creditor’s Right’ in following:

Clearly spell out, at the time of establishing a client relationship, the liability for losses, as well as the rights and responsibilities of all parties, in the event of products not performing as per specifications or things going wrong. However, the bank will not be liable for any losses caused by extraneous circumstances that are beyond its reasonable control (such as market changes, performance of the product due to market variables, etc.).

  • Ensure the client is refunded without delay and demur, if the bank cannot show client liability beyond reasonable doubt on any disputed transaction (along with interest/charges)
  • To make payment in full of any claim by a depositor or other creditor in winding up or voluntary liquidation of the Bank;
  • To pay all lawful claims promptly and return all funds or other property held by the Bank to rightful owners within such maximum period as the Central Bank of Myanmar may determine

Human Rights

AYA Bank is committed to respecting human rights and demonstrates leadership in responsible workplace practices across our Bank’s Branches and in all regions where we conduct business. Our human rights policy is established in line with domestic laws and it is derived from the Universal Declaration of Human Rights and the Ten Principles of the the United Nations Global Compact (UNGC) . In line with the robust policy, we commit to upholding human rights in all aspects of our business, with key stakeholders.

Scope
This policy applies to all operations of AYA Bank as well as employees, customers, suppliers, and community.

Due Diligence - Our Approach, Implementation and Monitoring

Employees: Elements of the human rights policy are included in staff orientation and training sessions, along with workplace ethics and non-discrimination policies. We have established a Standard Operating Procedure (SOP) on how to address human rights violations. A whistle-blowing policy is in place to report any misconduct or malpractice by employees. A dedicated HR committee regularly reviews grievance reports to ensure compliance and take necessary action.

Customers: We give due consideration to our customers' interests and treat them fairly and without discrimination. AYA Bank's external grievance handling procedure allows customers to formally raise grievances related to the Bank's staff or service, thereby identifying, and improving problematic areas to enhance the customer experience in the future. A grievance hotline has been established for human rights grievances, and customers are encouraged to report any suspected violation of human rights through an established channel.

Suppliers: Our operations are supported by a network of suppliers providing goods and services ranging from office supplies to transportation, digital system and outsourced labours. Suppliers Code of Principle’ has been developed to ensure vendors’ commitment on labor rights and non-discrimination along with service or product contract.

Community: We urge our staff to interact with the community in a way that respects human rights and recognizes diverse cultures. Our CSR initiatives aim to support communities across various regions of Myanmar with diverse cultural backgrounds. AYA Bank is the first bank to voluntarily undergo a human rights audit and implement recommendations from the ILO (International Labour Organization). The Bank will continue to promote and advocate for human rights norms, upholding fundamental human rights for all our stakeholders.

Additionally, AYA Bank ccommits to prevent and respect the following human rights issues: child labor, forced labor, human trafficking, freedom of association, the right to collective bargaining, equal remuneration, and discrimination. We reviews its human rights policy on an annual basis or when there is a significant event. We communicate to all stakeholders every time there is a material change to the policy.

The purposes of this policy are to,

  • Establish a framework to promote value for money purchasing by developing a high-performing and reliable supplier base and delivering goods and services on time.
  • Provide guideline which describes the policies and outlines the procedures for requesting, approving, purchasing, deliver and payment of capital and operating expenditure.
  • Ensure that ethical, efficient and accountable practices are used for sourcing and procuring goods and services.
